If you enter into this Agreement on behalf of an artist, record label, company, or other legal entity, you confirm that you are authorized to represent that party and accept this Agreement on its behalf.

Safe Tune Music may provide sub-accounts or multiple-artist account management to eligible labels, managers, and partners.

Distribution may include music streaming services, download stores, video platforms, social media platforms, and other digital outlets supported by our services.
Platform availability, territorial coverage, monetization eligibility, and publication dates depend on the requirements and decisions of the relevant third-party platforms.
Safe Tune Music does not guarantee acceptance or publication of every submitted release.
04. TERM, SUBSCRIPTION, AND EXCLUSIVITY
4.1 Agreement Term
This Agreement begins when you accept it and remains effective while you use the applicable services, subject to the termination provisions below.
Subscription duration and renewal terms are governed by the applicable plan or Partner agreement.
4.2 Subscription Expiration
If your subscription expires or payment is not received, Safe Tune Music may restrict account access, suspend new deliveries, or initiate takedown procedures according to the applicable plan terms.
Outstanding royalties, legitimate fees, and obligations that survive termination remain subject to this Agreement.
4.3 Distribution Exclusivity
For each release distributed under an exclusive arrangement, you agree not to distribute the same Content through another distributor in a manner that creates conflicting or duplicate distribution while the release remains active under Safe Tune Music.
You must ensure that previous distributors have removed or transferred any conflicting release before submitting it to Safe Tune Music.
Any expressly agreed non-exclusive arrangement will be governed by its written terms.
4.4 No Guaranteed Release Date
Release dates are subject to delivery processing, metadata verification, platform approval, and DSP scheduling. Safe Tune Music is not responsible for delays caused by third-party platforms or incomplete submissions.
05. RIGHTS GRANTED TO SAFE TUNE MUSIC
5.1 Distribution License
You grant Safe Tune Music a worldwide license, for the applicable distribution period, to perform the activities necessary to provide the agreed services, including:
Receiving, storing, encoding, reproducing, transmitting, and delivering Content to participating DSPs.
Making Content available for streaming, downloads, and other authorized digital uses.
Processing metadata, credits, artwork, and technical formatting.
Delivering necessary information to DSPs and authorized technology providers.
Collecting and processing royalties attributable to distributed Content.
Administering eligible rights-management and monetization services where enabled.
5.2 Content ID and Rights Management
Where available and approved, Safe Tune Music may administer Content ID, audio fingerprinting, and similar rights-management systems on eligible platforms.
You must have the necessary rights to every element of Content enrolled in such systems.
You must not submit misleading ownership claims, unauthorized samples, or material that conflicts with another rights holder’s legitimate claims.
Content ID eligibility and monetization are subject to the requirements of the relevant platform.
5.3 YouTube and Channel Services
If Safe Tune Music offers and activates YouTube channel management or related services for your account, the applicable permissions and commercial terms will govern those services.
This Agreement does not automatically transfer ownership of your personal YouTube channel.
5.4 Artist Name and Branding
You authorize Safe Tune Music to use the artist or label names, approved images, biographies, logos, artwork, and branding you provide as reasonably necessary to distribute, identify, administer, and promote your Content.
5.5 Ownership of Content
You retain ownership of your music, videos, and associated intellectual property, except for the limited licenses expressly granted under this Agreement.
Safe Tune Music will not sell or transfer ownership of your copyrights merely because you use our services.
We may make technical formatting and metadata changes necessary for delivery but will not creatively remix or materially alter your Content without appropriate authorization.
06. COMMUNICATION WITH DISTRIBUTION PARTNERS
Distribution-related requests, including release updates, metadata corrections, takedowns, and royalty inquiries, should ordinarily be submitted through Safe Tune Music.
You agree not to knowingly interfere with Safe Tune Music’s contractual distribution arrangements or circumvent an applicable exclusivity obligation.
Nothing in this Section prevents you from exercising a legal right that cannot lawfully be restricted, contacting a regulator, or obtaining independent legal advice.
07. CONTENT DELIVERY REQUIREMENTS AND AI CONTENT POLICY
7.1 Delivery Standards
All submitted Content must comply with the technical, editorial, and legal requirements communicated by Safe Tune Music and the receiving DSP.
You must provide complete and accurate metadata, suitable artwork, correct credits, and all necessary ownership information.
7.2 Audio Requirements
Audio must meet the applicable technical requirements for the relevant platform. Unless otherwise specified in the delivery guidelines, accepted formats and specifications may include WAV files, appropriate sample rates and bit depths, and technically clean audio without corruption or unintended defects.
7.3 Video Requirements
Where video distribution is offered, videos must comply with the relevant platform’s technical and editorial specifications.
Content containing prohibited watermarks, unauthorized promotional overlays, misleading information, or technical defects may be rejected.
7.4 Strict Prohibition on AI-Generated Music and Videos
Safe Tune Music strictly prohibits AI-generated music and AI-generated video content from being submitted for official music distribution under this Agreement.
You must not submit music or video content that has been generated, wholly or partly, by artificial intelligence tools, including AI-generated songs, vocals, instrumentals, music videos, or other AI-generated audiovisual releases.
You are responsible for ensuring that every submitted release complies with this prohibition.
Safe Tune Music may reject, suspend, or remove Content that violates this policy. Material violations may also result in account suspension or termination under Section 14.
This restriction does not automatically prohibit ordinary technical processing or administrative tools that do not generate the submitted music or video. However, you must obtain written clarification from Safe Tune Music if you are uncertain whether a particular production method is permitted.
7.5 Review and Rejection
Safe Tune Music may reject, delay, or request corrections to Content that fails applicable requirements or raises reasonable legal, ownership, technical, or compliance concerns.
Safe Tune Music does not guarantee that a DSP will approve or publish any particular release.
08. ROYALTIES, PAYMENTS, AND TAX INFORMATION
8.1 Partner Royalty Share
For accounts governed by the Safe Tune Music Partner royalty arrangement, the revenue share is as follows:
Partner / Rights Holder: 70%
Safe Tune Music: 30%
The Partner’s 70% share and Safe Tune Music’s 30% share are calculated from the applicable Net Receipts, subject to this Agreement and any separately signed Partner agreement.
These percentages apply to the Partner royalty arrangement and do not automatically determine the revenue share for every other plan or service.
8.2 Definition of Net Receipts
“Net Receipts” means revenue actually received by Safe Tune Music and attributable to your Content after applicable DSP fees, platform adjustments, refunds, chargebacks, statutory deductions, and other legitimate deductions disclosed under the applicable commercial terms.
The 70% / 30% revenue split is applied to the applicable Net Receipts before any separate withholding or payout deductions applicable to the Partner.
8.3 Minimum Payout Threshold
The minimum payout threshold is USD 50.
Your payable balance must reach at least USD 50 before a payout is processed, subject to the applicable payment verification and compliance requirements.
Balances below the minimum threshold may be carried forward to the next payment cycle.
8.4 Monthly Payment Schedule
Safe Tune Music intends to process eligible monthly payouts between the 1st and the 15th day of each month.
Payments depend on the availability of finalized royalty reports, receipt of corresponding revenue, verification of account details, and completion of any required tax or compliance documentation.
If a DSP delays its payment or a verification issue arises, the affected payout may be delayed until the relevant issue is resolved.
8.5 Supported Payment Methods
Payments may be made through the following supported methods:
Bank Transfer.
Payoneer.
You must provide accurate payment details and any verification documents required to process the payout.
Receiving-bank charges, currency conversion fees, and payment-provider charges may apply according to the applicable payment provider’s terms.
8.6 Tax Information and Payout Deductions
You must provide accurate and complete tax information through the Safe Tune Music dashboard.
For the Partner payout arrangement, the following deduction policy applies:
If valid tax information is not provided or updated in the Safe Tune Music dashboard: a 30% deduction may apply to the Partner’s otherwise payable royalty amount.
If valid tax information is provided and updated in the Safe Tune Music dashboard: a 10% deduction may apply to the Partner’s otherwise payable royalty amount.
These percentages describe the payout deduction policy specified by Safe Tune Music. They must not be interpreted as a statement that the Bangladesh government or another tax authority necessarily imposes tax at these exact rates.
The nature, legal basis, calculation method, and applicability of these deductions must be disclosed to the Partner before they apply. Any amount withheld as tax will be handled in accordance with applicable law, and any separate service or administrative deduction must have an appropriate contractual basis.
If a different deduction is required by applicable law, the legally required treatment will apply. Safe Tune Music may request additional documents where necessary to verify tax status or comply with payment requirements.
8.7 Royalty Statements
Safe Tune Music will provide royalty statements through the dashboard or another designated reporting method.
Statements are based on the reporting information received from DSPs and may be adjusted if third parties later correct, reverse, or update their reports.
8.8 Royalty Disputes
You should notify Safe Tune Music in writing of any specific royalty discrepancy within 30 days after the relevant statement becomes available, where reasonably possible.
Your notice should identify the release, reporting period, disputed amount, and supporting evidence.
This reporting period does not eliminate any non-waivable rights available under applicable law.
8.9 No Guaranteed Earnings
Safe Tune Music does not guarantee any minimum number of streams, views, downloads, placements, or royalty earnings unless expressly agreed in a separate signed written agreement.
09. FRAUD AND PROHIBITED ACTIVITIES
Safe Tune Music prohibits fraud, unauthorized Content, and manipulation of platform metrics.
You must not:
Use bots, click farms, fake-stream services, or automated traffic to manipulate streams, views, or engagement.
Submit music or videos without the necessary ownership rights or licenses.
Upload stolen, plagiarized, counterfeit, or misleading Content.
Submit cover songs, remixes, samples, or derivative works without the required permissions.
Falsify artist names, credits, metadata, ISRCs, UPCs, or ownership information.
Impersonate another artist, label, rights holder, or person.
Submit false copyright claims or manipulate Content ID systems.
Upload AI-generated music or videos prohibited under Section 7.4.
Violate applicable law or the relevant DSP’s terms.
Attempt to bypass security, fraud detection, or rights-management systems.
9.1 Investigation
Where Safe Tune Music reasonably suspects fraud, infringement, or a material violation, it may investigate and take proportionate action, including temporarily withholding disputed royalties, suspending distribution, or requesting ownership documents.
Where a violation is substantiated, Safe Tune Music may remove the affected Content and apply other lawful remedies.
9.2 Cooperation
You agree to provide reasonable assistance and relevant documentation during a legitimate investigation.
Confirmed violations may be reported to the relevant DSPs or authorities where legally required or permitted.
10. TAKEDOWNS AND COPYRIGHT DISPUTES
10.1 Voluntary Takedowns
You may request the removal of a release through the dashboard or official support channel.
Safe Tune Music will initiate valid takedown requests within a commercially reasonable timeframe, subject to the processing times and procedures of the relevant DSPs.
Any administrative takedown fee must be disclosed in the applicable pricing or plan terms before the relevant service is ordered.
10.2 Copyright Claims
If Safe Tune Music receives a credible copyright complaint or ownership dispute, it may temporarily restrict distribution or monetization while the matter is investigated.
You may be required to provide relevant contracts, licenses, split sheets, contributor agreements, or other evidence of ownership or authorization.
10.3 Counter-Notifications
Where permitted by applicable law, you may submit a counter-notification through the applicable legal or platform procedure.
You must ensure that any counter-notification is truthful, made in good faith, and supported by a legitimate legal basis.
10.4 Third-Party Platform Actions
DSPs and platforms may reject, remove, restrict, or demonetize Content under their own policies and legal obligations.
Safe Tune Music cannot guarantee continued availability of a release on any third-party platform.

Your material breach of this Agreement.
Infringement of third-party rights by your Content.
Your failure to obtain necessary licenses or permissions.
Fraudulent activity or deliberate manipulation of platform metrics.
Materially false ownership information or unauthorized submissions.
Your unlawful conduct in connection with the Service.
Safe Tune Music will provide reasonable notice of a claim where legally permitted and allow you a reasonable opportunity to participate in its defense.

13. CONFIDENTIALITY AND DATA PRIVACY
13.1 Confidentiality
Each party agrees to take reasonable steps to protect the other party’s non-public business, financial, technical, and contractual information.
This obligation does not apply to information that is publicly available through no breach, independently developed, lawfully obtained from another source, or required to be disclosed by law.

13.3 Security
Safe Tune Music will use reasonable measures to protect account information and personal data. No internet-based system can be guaranteed to be completely secure.
You must protect your login credentials and report suspected unauthorized access promptly.
14. SUSPENSION AND TERMINATION
14.1 Termination by You
You may request cancellation of your subscription or termination of your account through the dashboard or designated support channel, subject to the applicable plan terms.
Cancellation does not automatically remove Content from DSPs. The relevant takedown process must be completed.
Royalties properly payable to you remain subject to the payment provisions of this Agreement.
14.2 Suspension or Immediate Termination
Safe Tune Music may suspend or terminate your account, where reasonably necessary and legally permitted, if you:
Submit stolen, unauthorized, or infringing Content.

Outstanding fees and obligations incurred before termination remain payable where legally due.
Safe Tune Music may retain necessary account and transaction records for legitimate legal, accounting, compliance, and dispute-resolution purposes, subject to applicable law.
Provisions intended by their nature to survive termination will remain effective.
Termination does not transfer copyright ownership to Safe Tune Music.
15. LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law, neither party will be liable for indirect, incidental, special, or consequential losses arising from this Agreement, including anticipated profits or business opportunities.
Nothing in this Agreement excludes liability for fraud, deliberate misconduct, or any other matter for which liability cannot lawfully be excluded or limited.
Subject to those exceptions, Safe Tune Music’s aggregate liability arising from this Agreement will not exceed the total fees paid by you to Safe Tune Music during the 12 months preceding the event giving rise to the claim.
This limitation does not eliminate any royalty payment obligation that is legally due.
Safe Tune Music is not responsible for delays or interruptions caused by events beyond its reasonable control, including natural disasters, government actions, widespread network failures, and third-party platform outages.
